The terms that govern orders placed in the XM Textiles e-shop.

1. Introduction
These Terms and Conditions (“Terms”) govern the use of the online store at eshop.xmtextiles.com (the “Store”) and the sale of textile products through it. By placing an order, you confirm that you have read, understood and agreed to these Terms. If you do not agree, please do not use the Store.

3. Definitions
- “Seller” — XM Textiles Polska Sp. z o.o., as identified in Section 2.
- “Customer” — a natural person, sole trader or legal entity placing an order through the Store.
- “Consumer” — a natural person making a purchase outside their trade or profession, as defined in EU Directive 2011/83/EU and the Polish Act on Consumer Rights of 30 May 2014.
- “Business Customer” — any Customer other than a Consumer — companies and sole proprietors purchasing for professional purposes.
- “Products” — textiles, fabrics, reflective tapes and garment accessories offered for sale in the Store.
4. Eligibility and account registration
The Store is open to both Consumers and Business Customers, primarily within the European Economic Area (EEA). Orders are placed through a registered customer account. By registering an account, you confirm that the information you provide is accurate and complete.
5. Products, specifications and certifications
The Products offered are industrial textiles intended for the manufacture of workwear, protective clothing, flame-retardant garments, high-visibility apparel and related applications. Each Product page contains the technical specification (composition, weight, weave, width, certifications). Where indicated, Products comply with applicable European standards (e.g. EN 469, EN ISO 11611, EN ISO 11612, EN ISO 20471, EN 1149, OEKO-TEX® Standard 100). Certification scope and validity are described in the relevant Technical Data Sheets (TDS), available on request.
As textiles are produced in production batches, minor variations in colour shade, weight (±5%) and width (±2 cm) are within industry tolerance and shall not constitute a product defect.
Fabric is stocked in roll pieces of varying length. Retail orders with a fabric value below €500 (excluding VAT) are cut to the ordered length. Larger fabric orders and all orders placed under a trade account are supplied in whole roll pieces: the delivered quantity may differ from the ordered quantity, the amount shown at checkout is an estimate, and the invoice is issued for the quantities actually shipped. For such orders paid by card, no payment is taken at checkout: the Customer's card is securely stored by our payment processor (Stripe) with the Customer's consent, and once the order is assembled the exact invoiced amount is charged to the stored card automatically, the final quantities having been communicated by e-mail; where the automatic charge cannot be completed or no card is stored, the Customer instead receives a secure payment link, and the order is dispatched after payment. Reflective tapes and accessories are not affected. A quantity deviation within this rule shall not constitute a defect or non-conforming delivery.
6. Prices, currency and VAT
All prices are displayed in euro (EUR) and, unless explicitly stated otherwise, exclude VAT. The applicable VAT is calculated at checkout based on the delivery country and your VAT status: domestic orders are charged the Seller’s local VAT rate, consumer deliveries to other EU countries are charged the VAT rate of the destination country, EU businesses with a valid VAT number verified in VIES are invoiced under the reverse-charge mechanism (0% VAT), and deliveries outside the EU are zero-rated as exports.
The total price of an order, including any delivery charges and VAT, is shown at the checkout stage before the order is placed. Prices may change at any time, but changes do not affect orders already accepted by the Seller.
7. Orders and contract formation
The presentation of Products in the Store constitutes an invitation to make an offer, not a binding offer of sale. A binding contract is formed only when the Seller confirms acceptance of your order by email (the “Order Confirmation”). The Seller reserves the right to refuse any order, including for reasons of stock availability, pricing errors or suspicion of fraud.
For bulk orders, custom-cut quantities or non-standard requirements, Customers may request a quote through the contact form. The resulting quotation is valid for the period stated in it and becomes binding only upon written acceptance by both parties.
8. Payment
Orders are payable against an invoice: after you place an order, the Seller confirms it and sends a proforma invoice with payment details, payable by bank transfer. The ordered stock is reserved for seven days so payment can be arranged. Goods are dispatched after payment has been received and cleared, unless other terms have been agreed in writing.
Where card payment is offered in the Store, retail orders up to €3,000 may be paid by Visa, Mastercard, American Express and other methods supported by Stripe, our payment processor. The Seller does not store full payment-card details; these are processed by Stripe under PCI-DSS standards.

10. Returns, withdrawal and refunds
Return rights, the consumer right of withdrawal under EU law and the refund procedure are described in detail in our Returns & Refunds Policy, which forms part of these Terms.
11. Warranty and liability for defects
The Seller is liable for product conformity in accordance with applicable Polish and EU law. Consumers benefit from the statutory two-year liability period for defects (Polish Civil Code, art. 556 et seq., as amended). Business Customers’ rights under statutory warranty are governed by separate provisions of the Polish Civil Code applicable to commercial transactions and may be modified by individually agreed terms.
To the maximum extent permitted by law, the Seller’s total liability arising from or in connection with any order shall not exceed the value of the Products ordered. This limitation does not exclude liability for death, personal injury or any other liability that cannot be limited under applicable law.
12. Intellectual property
All trademarks, brand names (including XM Textiles, XM FireLine, XM SilverLine, XM Accessories), logos, product designs, photography, technical specifications and Store content are the property of the Seller or its licensors and are protected under applicable intellectual-property law. They may not be reproduced or used without written consent.
13. Personal data
Processing of personal data is described in our Privacy Policy. The controller is XM Textiles Polska Sp. z o.o.
14. Out-of-court dispute resolution
Consumers in the EU have access to the European Commission’s Online Dispute Resolution platform: ec.europa.eu/consumers/odr. Consumers may also use national mediation services where available. The Seller is open to amicable settlement of disputes.
15. Governing law and jurisdiction
These Terms are governed by the law of the Republic of Poland. For Consumers, this choice of law does not deprive them of the protection afforded by the mandatory consumer-protection rules of their country of habitual residence. Disputes arising in connection with these Terms shall be resolved by the competent Polish courts, save where mandatory consumer-protection rules provide otherwise.
16. Changes to these Terms
The Seller may amend these Terms from time to time. The version applicable to an order is the version in force at the moment the order is placed. Material changes will be communicated by email to registered account holders.
